凱基金融控股股份有限公司，簡稱凱基金、凱基金控，原中華開發金融控股股份有限公司，是一家臺灣金融控股公司。主要子公司為凱基人壽、凱基商業銀行、凱基證券、凱基投信、中華開發資本。[1]

沿革

開發金控第一代企業標誌

中華開發信託時期

1959年，在行政院經濟安定委員會與世界銀行的推動下，中華開發信託股份有限公司成立，為當時臺灣第一家民營的創投金融機構。

1999年，中華開發信託公司改制為中華開發工業銀行股份有限公司，持續支持臺灣產業與經濟發展。

中華開發金控時期

2001年12月28日，中華開發工業銀行以股份轉換方式成立中華開發金融控股股份有限公司。2002年11月8日，大華證券及菁英證券以換股方式成為開發金的子公司[2]；開發金於2003年12月31日將菁英證券併入大華證券。

2005年，開發金控曾計畫併購金鼎證券，但未獲得金鼎証券原經營團隊同意；在持續四年購入股票後，開發金於2009年已取得金鼎證券超過48%的股權；[3]但在歷經長達五年的爭議後，開發金最終仍未能順利併入金鼎證券，期間也導致了開發金控併購金鼎證券案。[4]

2012年，開發金控以新台幣546億元公開收購台灣第二大證券業者凱基證券，為台灣歷來最大宗證券購併案，以每股新台幣5.5元現金及1.2比1的換股比例購併凱基證券。2013年1月18日完成換股後，開發金持有凱基證券100%股權。[5]；同年6月22日，將凱基證券與大華證券合併，以凱基證券為存續公司。[6]

2014年，開發金控以總金額約新台幣230.94億元合併萬泰商業銀行為子公司；萬泰銀行於2015年更名為「凱基商業銀行」。[7][8][9][10]而後，開發金控再將開發工銀的企業金融與金融市場業務讓與凱基銀行。[11]

2017年中華開發工業銀行更名為中華開發資本。[12]。

2017年9月開發金控獲金管會核准投資中國人壽25.33％股權，決定自8月17日起到9月6日啟動公開收購程序，以每股新台幣35元收購股權，將中壽納為開發金控的子公司。[13]，開發金控會因併購中壽之後成為金控前十強。[14]。

2021年4月，開發金控承諾2045年全資產組合（Total Portfolio）淨零碳排，透過金融業的投資融資行為擴大影響力[15]。

2021年10月1日，開發金控召開臨時股東會，通過以股份轉換方式將中國人壽納為100%持股之子公司[16]；12月30日完成股份轉換。2024年1月1日，中國人壽正式更名為凱基人壽。

2024年4月26日，開發金控董事會決議規劃調整公司名稱為「凱基金融控股股份有限公司」，惟相關變更程序仍待主管機關核准後生效，正式生效日於股東常會決議與主管機關核准後再行公告；[17]8月12日，開發金控發佈已獲經濟部核准變更登記[18]。

2024年8月12日，開發金收到經濟部變更登記核准函，名稱由「中華開發金融控股股份有限公司」更名為「凱基金融控股股份有限公司」。[19]

總部

中華開發大廈

2013年11月28日，中國人壽出價新臺幣141.68億元標得臺北市松山區敦化北路135號原中國青年救國團臺北學苑土地70年地上權，預計新建企業總部。[20]

2021年10月4日，開發金控總部從臺北市松山區南京東路五段125號「中華開發大廈」搬遷至台北市松山區敦化北路135號「中華開發金控總部大樓」。[21]
