הוראה קוגנטית והוראה דיספוזיטיבית

בהוראות של חוק או של תקנון נהוג להבחין בין הוראה קוגנטית, שהיא הוראה כופה, שלא ניתן לחרוג ממנה, ובין הוראה דיספוזיטיבית, שניתן להתנות עליה באמצעות הוראה אחרת, למשל בחוזה.

מרבית חוקי המגן שבדיני העבודה מעניקים לעובד זכויות קוגנטיות, כלומר זכויות שהעובד אינו יכול לוותר עליהן, ואף ארגון עובדים אינו יכול לוותר עליהן. דוגמה להתייחסות מפורשת לכך ניתן בסעיף 12 לחוק שכר מינימום הקובע: "זכותו של עובד, לפי חוק זה, אינה ניתנת להתניה או לויתור". קביעת הזכות כקוגנטית באה להגן על העובד מפני לחץ לוותר על זכות זו, אך גם אם העובד הוא המבקש לוותר על זכותו (למשל עובד חסר ניסיון המוכן לעבוד בשכר נמוך משכר המינימום על מנת לצבור ניסיון) אין למעסיק רשות לקבל את ויתורו.

לעומת הזכויות לשכר מינימום, לחופשה שנתית, לפיצויי פיטורים, לחופשת לידה ועוד, שהן זכויות קוגנטיות, הזכות לדמי מחלה היא זכות דיספוזיטיבית, משום שבהתאם ללשון החוק הוא אינו חל על מי שזכות זו מוסדרת לגביו בהסכם קיבוצי או בהסדר קיבוצי.

דוגמה נוספת: סעיף 57 לחוק החברות קובע נושאים שהחלטות החברה בענינם יתקבלו באספה הכללית. סעיף 58 לחוק קובע "חברה אינה רשאית להתנות על הוראות סעיף 57".

פרק ו' לחוק המקרקעין עוסק בבתים משותפים. סעיף 55 בפרק זה קובע: "לכל דירה בבית משותף צמוד חלק בלתי מסוים ברכוש המשותף של אותו בית משותף." המשך הסעיף קובע שחלק מהוראה זו הוא דיספוזיטיבי, כלומר קובע דרך שבה ניתן להתנות על הוראה זו: "בעלי הדירות רשאים לקבוע בתקנון, כמשמעותו בסימן ג׳ לפרק זה (להלן – התקנון), שחלק מסוים של הרכוש המשותף יהיה צמוד לדירה פלונית, ובלבד שלא יקבעו זאת ביחס לחדרי מדרגות, מעלית, מקלטים ומיתקנים המיועדים לשמש את כל בעלי הדירות".

לא תמיד מצוין במפורש בחוק האם הוראה בו היא קוגנטית או דיספוזיטיבית לעיתים ניתן להבין זאת מתוך הבנת מטרות החוק, ולעיתים נדרשת פסיקה שתכריע בשאלה זו. סעיפיו של חוק החוזים (תרופות בשל הפרת חוזה) לא מתייחסים לשאלה האם הוראות החוק הן דיספוזיטיביות או קוגנטיות. בתחילה דעות המלומדים היו חלוקות אך במהלך השנים התקבעה הפסיקה כי החוק הוא דיספוזיטיבי והצדדים רשאים בהסכם לקבוע מראש אילו תרופות ניתן לקבל ואילו לא[1]. בית המשפט הדגיש כי על ההתנאה להיעשות באופן מפורש או לכל הפחות להשתמע בבירור מאומד דעתם של הצדדים בזמן כריתת ההסכם. כמו כן כוח ההתנאה של הצדדים אינו בלתי מסויג וישנם מקרים בהם בית המשפט לא יאפשר הסתמכות על תנאי בחוזה ויפנה לחוק[2].

הוראות בהסכם קיבוצי ובצו הרחבה הקובעות את זכויות העובד הן הוראות קוגנטיות, כלומר עובד אינו יכול לוותר על זכות שניתנה לו בהן.
